Master Service Agreement (MSA)

This Master Service Agreement (“Agreement”) is entered into by and between F.O.N.G. (“Provider”) and the authorized user or entity (“Client”) accessing the services provided within this repository.
1. Scope of Services
Provider agrees to grant Client access to the software, digital archives, and logistical tools hosted within this repository, specifically including but not limited to:
- Fong Arcade: A collection of browser-based games (Personal/Non-Commercial).
- SkyLantern Logistics: Enterprise shipment tracking and logistics management tools.
- 16 TB Digital Archive: Secure, cold-storage data preservation system.
- Input A11y: Accessibility and OCR utilities.
2. Term and Termination
This Agreement commences on the Effective Date and continues until terminated by either party. Provider reserves the right to terminate access immediately upon violation of the Terms of Use or Data Policy.
3. Intellectual Property Rights
- Provider IP: All original code, game mechanics, and unique assets (excluding third-party libraries listed in
LICENSE_AUDIT.md) remain the sole property of Provider.
- Client Data: Client retains ownership of all data input into the SkyLantern Logistics system (“Client Data”).
- Open Source Components: Certain components are subject to MIT, Apache 2.0, or other open-source licenses as detailed in
LICENSE_AUDIT.md.
4. Confidentiality & NDA (SkyLantern Logistics)
Applicability: This section applies specifically to the SkyLantern Logistics project.
- Definition: “Confidential Information” includes all tracking numbers, carrier API keys, shipment manifests, and internal Amazon Corporate logistics data processed by the SkyLantern system.
- Obligation: Both parties agree to hold Confidential Information in strict confidence and not to disclose it to any third party without prior written consent, except as required by law.
- Amazon Compliance: Provider acknowledges that data processed via SkyLantern Logistics may be subject to Amazon Corporate security standards and agrees to maintain appropriate safeguards.
5. Warranties and Disclaimers
- “As Is” Basis: All services are provided “AS IS” without warranty of any kind, express or implied.
- No Liability: Provider shall not be liable for any direct, indirect, incidental, special, or consequential damages resulting from the use or inability to use the services.
6. Governing Law
This Agreement shall be governed by the laws of the jurisdiction in which the Provider is established (Digital/Global), without regard to its conflict of law provisions.
7. Compliance
Client agrees to comply with all applicable laws and regulations, including but not limited to data protection laws (GDPR, CCPA) where applicable to their usage.
